Lancea offers UK and Continental European public and private companies an unusually wide range of services, ranging from A round financings to pre IPO funding rounds, flotations and public market new issues/secondaries. Our objective is to maximise our client’s chances of success in attracting supportive long term investors sourced, as appropriate, from public institutions, the private equity/venture capital marketplace, family offices, business angel groupings and/or high net worth communities.

With flotations, Lancea provides guidance on and makes introductions to firms of brokers and investment banks, retaining an independent advisory role during the IPO and, where appropriate, participating in the distribution process. Several of Lancea’s partners have worked for major investment banks for significant periods of their careers, have managed IPOs themselves and therefore fully understand the process as well as retaining strong relationships with a number of banks and brokerage houses.

Pre-marketing
Pre-marketing exercise commences with a thorough due diligence exercise conducted by Lancea. This is intended to understand fully the investment strategy, the competitive positioning of the business, the strengths and weaknesses of the management team and to identify the issues that would be of concern to investors. In particular, we will provide guidance regarding the optimum capital structure for the business, valuation expectations and the terms of investment. At the same time, we will interact with selected investors to obtain initial feedback on the investment proposition.

Documentation
Lancea provides assistance with the preparation of institutionally robust marketing and due diligence materials. The goal is to deliver an investment proposition that is positively differentiated from its competitors both in its own marketplace and in the funding market.

Marketing and closing
Lancea compiles a list of suitable potential financial or strategic investors reflecting the full spectrum of capital providers available to the client and qualifies them by likelihood of investing. Having arranged meetings, we will then co-ordinate communications between the client, the investor, and other service providers to facilitate the investment process. In particular, we will help clients to evaluate the funding proposals and assist in the negotiation of investment terms, price and deal structure.
